These Terms and Conditions (“Terms”) form a binding agreement between you and your organisation (“Client”, “you”) and MeraUdyog (“MeraUdyog”, “Company”, “we”, “us”). By accessing, subscribing to, or using the MeraUdyog platform, websites, mobile applications, APIs and related services (together, the “Service”), you accept these Terms in full. If you do not agree, do not use the Service.
1. Eligibility and accounts
You must be authorised to bind your organisation to these Terms. You are responsible for the accuracy of the information you provide, for all activity under your accounts, and for keeping credentials confidential. We may suspend or terminate accounts used in breach of these Terms.
2. Licence to use the Service
Subject to these Terms and to payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business purposes for the duration of your subscription. All other rights are reserved to the Company.
3. Subscriptions, fees and payment
Paid plans are billed in advance on the cycle shown at purchase. Fees are non-refundable except where required by law. We may revise pricing on renewal with reasonable notice. Taxes are your responsibility. Non-payment may result in suspension or termination of access.
4. Intellectual property, the Company has all rights
The Service, and all software, source code, designs, interfaces, text, graphics, logos, trademarks, documentation, workflows, templates and other materials it contains, are and remain the sole and exclusive property of MeraUdyog and its licensors. All rights, title and interest in and to the Service are reserved to the Company. Nothing in these Terms transfers any ownership to you. You may not copy, modify, reverse-engineer, resell, sublicense, or create derivative works from any part of the Service.
5. Client data and licence granted to the Company
“Client Data” means data you or your users submit to or generate through the Service. As between the parties, you retain ownership of your Client Data. However, by using the Service you grant MeraUdyog a worldwide, royalty-free, perpetual, irrevocable, sublicensable licence to host, store, reproduce, process, analyse and use Client Data, including in aggregated, de-identified or derived form, for the following purposes:
- providing, operating, maintaining and securing the Service;
- quality assurance, monitoring and improvement of the Service;
- training, developing, testing and improving our models, algorithms, features, analytics and artificial-intelligence capabilities;
- research, benchmarking, statistics and the creation of aggregated insights;
- developing new products, services and features; and
- such other lawful business purposes as the Company considers appropriate.
The Company may retain and continue to use aggregated, de-identified and derived data indefinitely, including after termination. This section survives termination of your subscription. Our handling of personal information is described further in our Privacy Policy, which forms part of these Terms.
6. Acceptable use
You agree not to use the Service to break the law, infringe others’ rights, transmit malicious code, attempt unauthorised access, overload or disrupt the Service, or upload data you are not entitled to share. We may investigate and act on suspected violations, including removing content and suspending access.
7. Third-party services
The Service may integrate with third-party products (for example, telephony, messaging, payment or analytics providers). Your use of those products is governed by their own terms, and the Company is not responsible for them.
8. Service availability and changes
We aim for high availability but do not guarantee uninterrupted or error-free operation. We may modify, suspend or discontinue any part of the Service, and may update these Terms, at any time. Continued use after changes take effect constitutes acceptance.
9. Disclaimer of warranties
The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement, to the maximum extent permitted by law.
10. Limitation of liability
To the maximum extent permitted by law, MeraUdyog and its directors, employees and partners will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the amount you paid to us for the Service in the three (3) months preceding the event giving rise to the claim.
11. Indemnity
You agree to indemnify and hold harmless MeraUdyog from any claims, damages, liabilities and expenses (including reasonable legal fees) arising from your use of the Service, your Client Data, or your breach of these Terms.
12. Termination
Either party may terminate a subscription as set out in the applicable order. We may suspend or terminate access immediately for breach of these Terms. On termination your right to use the Service ends; sections that by their nature should survive (including ownership, the data licence in Section 5, disclaimers, limitation of liability and indemnity) will survive.
13. Governing law and jurisdiction
These Terms are governed by the laws of India. The courts at Nagpur, Maharashtra, India will have exclusive jurisdiction over any dispute, subject to any binding arbitration the parties separately agree to.
